Terms of Service

1. Who we are

SupplySmart is a product of Onwardlabs LLC, a Maryland limited liability company ("SupplySmart", "we", "us"). These Terms of Service ("Terms") govern your use of the SupplySmart platform at supplysmart.app and on connected tenant domains. By creating an account or using the service you agree to these Terms.

2. The service

SupplySmart is software for wholesale distributors: an online ordering portal for your customers, plus delivery management, invoicing, payment collection, and bookkeeping tools. Each distributor ("tenant") operates its own isolated workspace with its own catalog, customers, and records.

3. Accounts

You must provide accurate information when creating an account and keep your credentials secure. The account owner is responsible for the activity of all users they add (administrators, bookkeepers, and their store customers' access). You must be authorized to act for the business you register.

4. Subscription, trial, and billing

• The service costs $299 per month per tenant, billed through Stripe.
• New tenants receive a free trial as stated at signup. No credit card is required to start a trial.
• Subscriptions renew monthly until cancelled. You can cancel anytime from your billing page; cancellation takes effect at the end of the current billing period. Partial months are not refunded.
• If a renewal payment fails, we will notify you and retry. Continued non-payment pauses dashboard access as described in Section 8.
• We may change pricing with at least 30 days' notice; changes apply from your next billing period after the notice.

5. Payments you collect from your customers

Card and ACH payments from your customers are processed through your own Stripe account connected via Stripe Connect, subject to Stripe's terms. Those funds flow to you, not to us. You are solely responsible for your relationships with your customers, including pricing, delivery, refunds, disputes, and any applicable taxes on your sales. We are not a party to transactions between you and your customers.

6. Your data

You own the data you and your customers enter into SupplySmart. You grant us the rights needed to host, process, back up, and display that data in order to operate the service. You can request an export of your data. We may access account data as needed to provide support you request, to diagnose and fix problems, to maintain security, and to comply with law. Tenant workspaces are isolated from one another; we do not sell your data.

7. Acceptable use

Use the service only for lawful business purposes. You may not attempt to access other tenants' data, interfere with or overload the service, reverse engineer it, or resell access to it. We may suspend accounts that violate these Terms or create risk for the platform or other tenants.

8. Non-payment, suspension, and termination

If your trial ends without a subscription or your subscription lapses, dashboard access is paused - but your data is preserved, and your customers can still pay their outstanding invoices. Subscribing again restores full access. You may close your account at any time; we may terminate accounts for material breach of these Terms. After account closure you may request deletion of your data, subject to records we must keep by law.

9. Availability and changes

The service is provided "as is" and "as available". We work to keep it reliable but do not guarantee uninterrupted availability, and we may modify features over time. We are not liable for outages of third-party providers (payment processing, hosting, email delivery).

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost data. Our total liability for any claim relating to the service is limited to the subscription fees you paid us in the twelve months before the claim arose.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in the dashboard at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
